Terms of Service

1. Acceptance of Terms

By downloading, installing, or using SpeakLocale ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software. These Terms constitute a legal agreement between you and MarZo, LLC ("we," "our," or "us").

2. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for personal or business purposes.

• Basic Tier: Free to use with usage limitations (5,000 words per week)
• Pro Tier ($49 one-time): Unlimited usage with 1 year of software updates
• Pro Lifetime ($149 one-time): Unlimited usage with lifetime software updates
• Pro Cloud ($8/month or $86/year): Cloud-based transcription subscription

3. Account Registration

To access certain features, you must create an account. You agree to provide accurate information and keep your account credentials secure. You are responsible for all activity under your account. One license is valid for one user across multiple personal devices.

4. Payment and Billing

One-Time Purchases (Pro, Lifetime): Payment is processed once at the time of purchase. No recurring charges apply.

Subscriptions (Pro Cloud): Subscriptions are billed monthly or annually based on your selected plan. You may cancel at any time, and your subscription will remain active until the end of the current billing period.

All payments are processed securely through Stripe. Prices are in USD and do not include applicable taxes.

5. Refund Policy

We offer a 7-day refund policy for one-time purchases (Pro and Lifetime). If you are not satisfied with the Software, contact us within 7 days of purchase for a full refund.

Subscription refunds are handled on a case-by-case basis. Please contact support for assistance.

6. Software Updates

Pro Tier: Includes 1 year of software updates from the date of purchase. After this period, you may continue using your current version or purchase an update extension.

Lifetime Tier: Includes all future software updates at no additional cost.

Pro Cloud: Always includes the latest version while your subscription is active.

7. Acceptable Use

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Modify, adapt, or create derivative works from the Software
• Redistribute, sell, lease, or sublicense the Software
• Use the Software to violate any laws or regulations
• Share your account credentials with others
• Circumvent usage limits or license restrictions
• Use the Software to transcribe content you do not have rights to

8. Third-Party Services

The Software may integrate with third-party services (OpenAI, Groq, DeepL) through our BYOK (Bring Your Own Keys) feature. Your use of these services is subject to their respective terms of service. We are not responsible for third-party service availability, pricing, or data handling.

9. Intellectual Property

The Software, including its code, design, features, and documentation, is owned by MarZo, LLC and protected by copyright and other intellectual property laws. Your purchase grants you a license to use the Software, not ownership of the Software itself.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARZO, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SOFTWARE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

12. Termination

We may terminate or suspend your access to the Software at any time for violation of these Terms. Upon termination, your license to use the Software ends immediately. Provisions that by their nature should survive termination will survive.

13. Changes to Terms

We may modify these Terms at any time. We will notify users of significant changes via email or in-app notification. Continued use of the Software after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
